What this covers

Every LLP files Form 11, the annual return, by 30 May and Form 8, the statement of accounts and solvency, by 30 October — whether or not it did any business during the year.

The penalty is ₹100 per day per form with no cap. An LLP that has ignored filings for a few years usually discovers a six-figure liability when it tries to close or convert.

We prepare the accounts, get the partners' declarations and file both forms on time.

Who does what

FileSaathi

Collects and checks documents, drafts every form and resolution, files on the portal and follows up until the acknowledgement or approval is in hand.

Partner CA / CS

Certifies Form 8, and audits the accounts where turnover or contribution crosses the threshold.

The partner is an independent practising professional. Their fee is shown as a separate line in your quote and billed by them directly. You deal with one person at FileSaathi throughout. About our partner network

How we handle it

Two deadlines, both tracked

Form 11 in May and Form 8 in October. We work backwards from both so accounts are ready in time.

Audit applicability checked

Audit only applies above ₹40 lakh turnover or ₹25 lakh contribution. We confirm where you fall rather than assuming.

Agreement changes captured

Changes in partners or contribution during the year need Form 3 and Form 4 filings, which Form 11 should agree with.

Backlog handled

Missed years brought current, with the penalty quantified upfront.

Frequently asked

Do we file if the LLP had no transactions?
Yes. Both forms are due for a dormant LLP, and the ₹100 per day penalty applies equally.
When is an LLP audit required?
When turnover exceeds ₹40 lakh or partners' contribution exceeds ₹25 lakh in the financial year.
Can penalties be waived?
Not generally. Amnesty schemes appear occasionally, but planning around one is not a strategy. Filing current-year forms on time and clearing the backlog in a single decision is usually cheaper.
