What this covers

A private limited company is the structure investors, banks and large customers expect. Liability is limited to the shareholding, ownership is transferable through shares, and the company continues regardless of who runs it.

Frequently asked

How many people are needed?
At least two directors and two shareholders; the same people can hold both roles. One director must be resident in India. For a single owner, a One Person Company is the equivalent structure.
Is there a minimum capital requirement?
No. The minimum paid-up capital requirement was removed. Most companies incorporate with ₹1 lakh authorised capital, since MCA fees scale with the authorised amount.
Can the registered office be a residence?
Yes, with a utility bill in the owner's name and an NOC from them. It can be changed later by filing the appropriate form.
What compliance follows every year?
Statutory audit regardless of turnover, AOC-4 and MGT-7A filings, at least four board meetings, an AGM, DIR-3 KYC for each director, and the company's income tax return. We quote this upfront so it is not a surprise in month eleven.
Private limited or LLP?
Private limited if you will raise external funding, issue ESOPs or sell to large enterprises. LLP if it is a services business with partners who will not be diluting equity — lower compliance and no audit until you cross the turnover threshold.
