What this covers

A sole proprietorship has no separate incorporation — the business is the owner. What you actually need is the set of registrations that let you open a current account, raise GST invoices and be taken seriously by customers.

Typically that means Udyam (MSME) registration, GST registration where applicable, and a shops and establishment certificate. Banks generally ask for two of these before opening a current account in a business name.

It is the cheapest structure to run and the riskiest to own — there is no liability protection. For a freelancer or a small trader it is usually the right starting point.

Is there a certificate of proprietorship?
No — there is no single registration for a proprietorship. Its legal existence is established through the registrations it holds: Udyam, GST, shops and establishment, and the current account itself.
Can a proprietorship hire employees?
Yes, and once the headcount thresholds are met, PF and ESI apply just as they do to a company. Proprietors also need a TAN if they deduct TDS on salaries or vendor payments.
How is a proprietorship taxed?
Business income is added to the proprietor's personal income and taxed at slab rates. Small businesses and professionals can often use presumptive taxation under Section 44AD or 44ADA, which removes the need for detailed books.
