What this covers

A Section 8 company is the corporate form of a non-profit — the same governance and transparency as a company, but with profits applied to its objects rather than distributed to members. Donors, CSR funders and grant-making bodies generally prefer it over a trust or society.

Incorporation needs a licence under Section 8 along with the usual SPICe+ filings, and the objects have to be drafted to withstand scrutiny at 12A and 80G registration later.

Section 8 company, trust or society?
A Section 8 company offers the strongest governance and is easiest for corporate donors to fund. Trusts are simpler and cheaper to form; societies suit membership-driven organisations. For CSR funding, the company form is usually preferred.
What are 12A and 80G?
12A (now under Section 12AB) exempts the organisation's own income from tax. 80G lets donors claim a deduction on what they give you. Most funders require both before releasing money.
Can directors be paid?
Reasonable remuneration for actual services is allowed, but profits cannot be distributed to members as dividend. Payments to related parties draw scrutiny at exemption renewal, so they need to be documented properly.
